ARTICLE 1.0

Scope of service & institutional licensing

Core platform

This Master Institutional Services Agreement ("Agreement") is between EduMatrix ("Provider") and the subscribing school, district, or campus network ("Institution"). By registering a school tenant, uploading student or staff records, or completing a paid subscription, the Institution accepts these terms.

school 1.1 Campus tenancy

Each licensed school receives an isolated branch tenant covering enrolled students, staff, parents, and administrators under the selected plan limits.

badge 1.2 Authorized users

Access is role-based for students, teachers, staff, parents/guardians, and school administrators under least-privilege permissions controlled by the Institution.

The Provider provisions a dedicated school branch environment. Cross-tenant data mixing is prohibited. The Institution remains responsible for authorized users and credential hygiene.

ARTICLE 2.0

Student data ownership & privacy guarantees

Institutional title & exclusive control

The Institution retains ownership and control of educational records, student work, grades, attendance, and related operational data uploaded to EduMatrix. EduMatrix processes that data solely to deliver the subscribed school services.

2.1 No commercial exploitation of student PII

Provider will not sell student personally identifiable information or use it for unrelated advertising.

2.2 Minimum necessary collection

Data collected is limited to what is needed for school operations, learning, billing, and compliance features enabled by the Institution.

2.3 Parent & guardian access

Parents and guardians access student information through Institution-controlled portals and permissions configured by the school.

ARTICLE 3.0

Security architecture & incident protocol

Security first

Provider maintains encrypted transport, access controls, and operational monitoring appropriate for school information systems.

Rapid Incident escalation

Verified security incidents are escalated to Institution contacts without undue delay.

RBAC Least privilege

School-configured roles limit access to modules and records by duty.

TLS Encrypted transit

Administrative and portal sessions use encrypted HTTPS connections.

3.2 Cooperation on incidents

Where an incident is attributable to Provider systems, Provider will cooperate with the Institution on investigation, containment, and required notices consistent with applicable law and the Institution’s policies.

ARTICLE 4.0

Availability expectations & service credits

Service levels

Provider targets high availability for core school portals and administrative workflows, excluding planned maintenance windows communicated in advance when practicable.

ARTICLE 5.0

AI governance & algorithmic ethics

Student data is not for unrestricted model training

Where AI-assisted features are enabled, Provider will not use Institution student records to train public foundation models for unrelated commercial purposes. Features that process content do so to deliver the Institution’s configured workflows.

ARTICLE 6.0

Data portability, termination & purge

Offboarding

Upon non-renewal or termination, Provider supports orderly offboarding:

Export window

Institution may export available records through platform tools or by coordinated request within a reasonable post-termination window.

Deletion after retention

After export opportunities and any legal retention obligations, Provider deletes Institution production data from active systems according to its retention schedule.

ARTICLE 7.0

Subscription terms, invoicing & renewals

Commercial
  • payments Plan fees: Charges follow the selected EduMatrix package, billing period, and any per-student pricing shown at checkout or on the invoice.
  • account_balance Non-payment: Sustained non-payment may suspend non-essential features after notice, without waiving amounts due.
  • autorenew Renewals: Renewal and upgrade options are available from the school subscription console for authorized administrators.
ARTICLE 8.0

Governing law & institutional riders

Disputes

Disputes are handled under the laws applicable to the contracting EduMatrix entity stated on your invoice or order form. Where a signed institutional rider or purchase order conflicts with these standard terms, the signed rider controls for that Institution.
